Terms of Service

Last updated and effective: September 8, 2026

These Terms of Service (the “Terms”) govern your access to and use of the BG8 platform: the BG8 websites, the BG8 mobile and web applications, the BeeGee assistant, vendor AI agents, and every related service, under whatever domain or app-store listing we make them available (together, the “Platform”). The Platform is operated by VLS AI Corporation, a company registered in British Columbia, Canada (“BG8”, “we”, “us” or “our”).

By creating an account, accepting a booking, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you use the Platform on behalf of a business, you confirm that you are authorized to bind that business, and “you” includes the business. If you do not agree, do not use the Platform.

1. Definitions

  • “Customer” means any person who uses the Platform to search for, request, book, or review services, including restaurant reservations.
  • “Vendor” means any business or professional that lists, offers, or delivers services through the Platform, including restaurants, home and personal service providers, and real estate professionals, together with its team members.
  • “AI Agent” means any automated assistant on the Platform, including BeeGee, the BG8 search assistant, and the agents that act for Vendors in conversations.
  • “Booking” means a service inquiry, quote, confirmed job, or restaurant reservation created through the Platform.
  • “Platform Fee” means the fee BG8 charges a Vendor for a Booking under section 7.
  • “Fee Schedule” means the fee band table BG8 publishes to Vendors in the vendor dashboard and during onboarding, as updated from time to time.
  • “Content” means text, images, audio, video, listings, reviews, messages, and any other material submitted to the Platform.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Platform.
  • You must provide accurate, complete, and current information when you create an account or a company profile, and keep it up to date.
  • You are responsible for your login credentials and for all activity under your account, including activity by team members you add to a company.
  • One person may hold one Customer account. A Vendor may register only businesses it owns or is authorized to represent.
  • We may refuse, suspend, delist, or close any account, Customer or Vendor, at our discretion (sections 9 to 11), and may require identity or business verification at any time.

3. What BG8 is, and is not

BG8 is a marketplace and communication platform that helps Customers find, contact, and book independent Vendors. When a Customer books a Vendor, the contract for the service is between the Customer and the Vendor. BG8 is not a party to that contract and does not provide, perform, supervise, or guarantee any service.

  • Vendors are independent businesses, not employees, agents, or contractors of BG8. BG8 does not control how they perform their work.
  • BG8 does not independently verify Vendor licences, insurance, qualifications, or claims unless we expressly say we have. Customers are responsible for their own checks.
  • BG8 cares about quality and works at it: we curate the Vendors we present, collect ratings on both sides, act on complaints, and delist Vendors that fall short. Those efforts are made in good faith for the benefit of the Platform as a whole. They are not a promise, warranty, or guarantee to any Customer about any particular Vendor or Booking, and they do not make BG8 responsible for a Vendor’s work.
  • BG8 is not a real estate brokerage, mortgage broker, financial adviser, lawyer, or medical provider. Real estate listings, market signals, and similar information on the Platform are provided for general information only and may be incomplete or out of date.
  • The Platform is not for emergencies. Contact local emergency services in an emergency.

4. AI assistants and automated content

The Platform uses artificial intelligence to understand requests, recommend Vendors, draft messages, estimate the scope and value of jobs, and carry on conversations on behalf of Vendors. AI-generated output is provided “as is” and may be inaccurate, incomplete, or inappropriate for your situation.

  • You must verify prices, availability, scope, and any other important detail with the Vendor before relying on it.
  • AI output is never legal, medical, financial, tax, real estate, or other professional advice.
  • A Vendor is responsible for how it configures its AI Agent, including the knowledge, prices, deal terms, and instructions it supplies, and for statements the agent makes within that configuration.
  • Voice recordings you submit are transcribed by automated services to produce text. Conversations, recordings, and images may be reviewed by BG8 staff for quality, safety, dispute resolution, and fee determination.
  • You must not attempt to manipulate, jailbreak, or extract instructions from any AI Agent, or use the Platform to generate unlawful or harmful content.

5. Bookings, reservations and pricing

  • Listed prices, “from” prices, price ranges, and AI-generated estimates are indicative only. A price becomes binding between the Customer and the Vendor only when the Vendor confirms it in the Booking.
  • A Booking is confirmed only when the Vendor accepts it on the Platform. Until then the Vendor may decline or propose a different time, scope, or price.
  • Customers must be available at the confirmed time and place, provide reasonable access and information, and pay the Vendor the agreed price.
  • Vendors must honour confirmed Bookings at the confirmed price and scope, and must record any agreed change in the Booking conversation.
  • Unless we expressly say otherwise for a specific service, BG8 does not collect the price of the service from the Customer and does not pay it to the Vendor. Payment for the service is arranged between the Customer and the Vendor.
  • Restaurant reservations are requests until the restaurant confirms them, and may be subject to the restaurant’s own seating, deposit, and cancellation policies.

6. Customer deposits, cancellations and no-shows

Free for Customers

  • Searching, chatting with the assistants, and booking through the Platform is free for Customers. BG8 does not charge Customers a fee to use the Platform. Customers pay Vendors for the services they book.
  • BG8 may in future offer optional paid plans, promotions, or premium features for Customers. Any such offer will state its price and conditions before you buy, will never be charged without your agreement, and will be governed by these Terms and any additional terms published with it.

Deposits

  • To protect Vendors against no-shows, BG8 may require a deposit, or a pre-authorization hold on a payment card, when a Customer books a job. The amount and the conditions for release or charge are shown before the Customer confirms the Booking.
  • Unless the Booking states a different window, a deposit is released or refunded in full if the Customer cancels at least 24 hours before the scheduled start time.
  • If the Customer cancels less than 24 hours before the scheduled start time, or does not show up, the deposit may be charged in whole or in part as a late-cancellation or no-show fee, and some or all of it may be paid to the Vendor.
  • Card payments and holds are processed by Stripe. BG8 does not store card numbers. By providing a card you agree to Stripe’s terms.
  • Refunds of amounts paid directly to a Vendor are a matter between the Customer and the Vendor. Refunds of amounts collected by BG8 are handled under this section and section 26.
  • Initiating a chargeback for a charge you authorized instead of contacting us first is a breach of these Terms.

7. Vendor platform fees and invoicing

Vendors pay BG8 a Platform Fee for Bookings created through the Platform. This section sets out how the fee is determined, billed, and contested.

How the fee is set

  • BG8 sets the Platform Fee for each Booking using its own estimation methods and algorithms. The fee is not negotiated with the Customer or the Vendor.
  • BG8’s systems estimate the value and size of each job from the information on the Platform, including the service listing, the Booking card, the conversation, the service category, the location, and comparable jobs. That estimate places the job in a fee band on the Fee Schedule, and the band determines the fee. The estimate is BG8’s internal working figure; it is not a price, is not shown to the Customer, and does not change what the Customer pays the Vendor.
  • As a guide only, Platform Fees generally amount to between about 5% and 15% of BG8’s estimate of the job value, depending on the service category, region, and job size. The job value is BG8’s estimate, not necessarily the price on the Booking card: it may take into account the confirmed quote, the scope of the work, and the price the Customer reports having paid after the job. The fee for a particular Booking is the amount shown for its band on the Fee Schedule, which may fall outside that range, and the range itself may change with the Fee Schedule.
  • The Platform Fee and its band are shown to the Vendor before the Vendor accepts a Booking. Accepting the Booking is agreement to that fee.
  • After acceptance the fee may be adjusted only where stronger evidence of the job’s value becomes available, such as a confirmed quote or a completed-job report, so that the Vendor is charged for the job actually done.
  • Restaurant reservations carry the per-reservation fee stated in the Fee Schedule. That fee may vary with party size, time, or other factors set out in the schedule, and is shown to the restaurant before it confirms the reservation.
  • The Fee Schedule may set minimums, maximums, and different bands by service category or region. BG8 may offer promotional or reduced fees; such offers may be withdrawn at any time.

Cancellations and completed jobs

  • A Booking is treated as completed when the Vendor marks it complete or when the scheduled time has passed without a dispute, as described in the vendor dashboard.
  • If a confirmed Booking is cancelled by the Vendor, or by the Customer because of the Vendor’s conduct, BG8 may still charge some or all of the Platform Fee as set out in the Fee Schedule.
  • A Vendor that arranges, reschedules, or completes work with a Customer introduced through the Platform outside the Platform remains liable for the Platform Fee BG8 reasonably estimates for that work.

Invoicing and payment

  • Platform Fees are invoiced weekly. Each invoice lists the Bookings and reservations closed in the week and the fee for each, in Canadian dollars, with applicable taxes added. An invoice is due whether or not the Vendor has collected payment from the Customer.
  • Each invoice is payable within 7 days of the invoice date. Vendors must keep a valid payment method on file and authorize BG8 and its payment processor to charge invoiced amounts to it on or after the due date.
  • Amounts not paid within 7 days of the invoice date are overdue. Overdue amounts bear interest at 1.5% per month (19.56% per year), or the maximum rate permitted by law if lower, and the Vendor is responsible for our reasonable collection costs.
  • While any invoice is overdue, BG8 may pause new leads, hide the Vendor from search results, and suspend the Vendor’s access, and may terminate the account under section 9. Access resumes at BG8’s discretion once the overdue amount is paid.
  • Platform Fees are non-refundable except where these Terms or applicable law require otherwise.

Contesting a fee

  • A Vendor that believes a job was placed in the wrong band may contest it with BG8 support within 14 days of the invoice date, with evidence of the work actually done. BG8 may re-band the job, and BG8’s decision is final.
  • Vendors must not contact Customers about Platform Fees. Information a Customer reports to BG8 about a job is confidential and is not disclosed to the Vendor.

Changes to fees

BG8 may change the Fee Schedule on 14 days’ notice through the vendor dashboard or by email. Bookings accepted before the change keep the fee shown at acceptance. Continuing to accept Bookings after the change is acceptance of the new schedule.

8. Vendor obligations

As a Vendor you agree to:

  • hold and maintain every licence, permit, registration, certification, and insurance required to offer your services where you offer them, and provide proof on request;
  • keep your listings, prices, coverage area, availability, and AI Agent knowledge accurate and current, and not list services you cannot deliver;
  • respond to leads, quotes, and Booking requests promptly, normally within one business day, and honour confirmed Bookings;
  • perform services professionally, lawfully, safely, and as described, and comply with consumer-protection, tax, employment, anti-spam, and privacy laws that apply to your business;
  • use Customer information received through the Platform only to deliver the Booking, protect it, and not add Customers to marketing lists or contact them for unrelated purposes without their separate consent;
  • not ask Customers to leave the Platform to avoid fees, and not solicit off-platform Bookings from Customers introduced through BG8;
  • be responsible for the acts of your team members and anyone you allow to use your account or AI Agent;
  • collect, report, and remit all taxes on the services you sell, including GST and PST, and comply with age, liquor, health, and safety rules that apply to your business; and
  • pay Platform Fees when due.

9. Vendor performance, suspension and termination

BG8 curates the Vendors it presents to Customers. BG8 may, at its sole discretion and with or without notice, warn a Vendor, limit its visibility in search, pause new leads, suspend its account, or terminate it, including where the Vendor:

  • has unpaid or overdue Platform Fees, a failed payment method, or a disputed charge;
  • is unresponsive: repeatedly fails to answer leads, quotes, messages, or Booking requests within a reasonable time, or lets confirmed Bookings lapse;
  • performs poorly: receives low ratings, substantiated complaints, repeated cancellations, no-shows, flagged jobs, or reports of unsafe or unprofessional work;
  • circumvents the Platform or the Platform Fee;
  • abuses its listings: misleading categories or coverage areas, keyword stuffing, duplicate or placeholder listings, fake, expired, or bait deals, copied or infringing images, or AI Agent instructions designed to mislead Customers or other Vendors;
  • misrepresents its identity, qualifications, licences, insurance, prices, or services, or lets a required licence or insurance lapse;
  • behaves abusively, discriminatorily, or dishonestly toward Customers, BG8 staff, or other Vendors, or manipulates reviews;
  • breaches these Terms, the Community Standards, the Privacy Policy, or applicable law, or exposes BG8 to legal, regulatory, or reputational risk; or
  • for any other reason BG8 considers sufficient, or for no stated reason.

On suspension or termination:

  • all Platform Fees accrued to that date remain payable and become immediately due;
  • BG8 may cancel or reassign pending Bookings and notify affected Customers;
  • BG8 owes the Vendor no compensation for lost leads, bookings, revenue, or goodwill;
  • BG8 may keep records of the Vendor’s activity as described in the Privacy Policy; and
  • BG8 may reinstate a suspended Vendor once the cause is cured, for example when overdue fees are paid, but is not obliged to.

A Vendor with a question about a delisting, suspension, fee, or any other decision may write to info@bg8.ai. BG8 will read what it receives and may respond, review, or reinstate, but is not obliged to do any of these (section 11).

A Vendor may close its account at any time from the vendor dashboard or by writing to info@bg8.ai. Closing an account does not cancel fees already accrued or Bookings already confirmed.

10. Customer suspension and termination

The same discretion applies to Customers. BG8 may, with or without notice, warn a Customer, limit the features available to them, suspend their account, or terminate it, including where the Customer:

  • does not show up for confirmed Bookings or reservations, cancels late repeatedly, or does not pay a Vendor the agreed price;
  • receives repeated low ratings or substantiated complaints from Vendors, for example for no-shows, rudeness, unsafe conditions, or non-payment;
  • is abusive, threatening, discriminatory, or dishonest toward Vendors, their staff, BG8 staff, or other users, in person or in any conversation on the Platform;
  • leaves false, retaliatory, or manipulated reviews, or trades reviews for anything of value;
  • disputes an authorized charge with their card issuer instead of contacting BG8, or uses a payment method they are not entitled to use;
  • misuses the AI assistants, Vendor information, or the Platform in a way described in section 15; or
  • breaches these Terms or the Community Standards, or for any other reason BG8 considers sufficient.

On suspension or termination of a Customer account:

  • BG8 may cancel the Customer’s pending Bookings and reservations and notify the Vendors concerned;
  • where the suspension follows a no-show, fraud, or abuse, any deposit or hold on an open Booking may be captured as a late-cancellation fee and paid in whole or part to the Vendor;
  • the Customer remains responsible for any amount owed to a Vendor for services already provided; and
  • the Customer may not open another account without BG8’s written permission.

A Customer may close their account at any time from their profile page or by writing to info@bg8.ai. Closing an account does not cancel a confirmed Booking or a debt owed to a Vendor.

11. Our right to refuse, delist and close accounts

BG8 decides who may use the Platform and what appears on it. Without limiting sections 9 and 10, BG8 may at any time, at its sole discretion, with or without notice, and with or without giving a reason:

  • refuse to open an account or to publish a listing, or require verification before doing so;
  • delist, hide, re-rank, or remove any Vendor, listing, service, deal, blog post, AI Agent, review, image, or other Content;
  • limit, suspend, or terminate any account, and close duplicate or related accounts;
  • cancel, reassign, or decline any Booking or reservation; and
  • change, suspend, or discontinue any feature or the whole Platform.

BG8 may, but is not obliged to, give notice, explain its decision, or consider an appeal. No decision under this section makes BG8 liable to you or to anyone else, and no compensation is owed for lost bookings, revenue, content, or goodwill. Amounts you owe BG8 or a Vendor at the time of a decision remain payable, and any licence you granted to your Content continues as described in section 13.

12. Ratings and reviews

  • Customers may rate and review Vendors after a completed Booking, and Vendors may rate Customers they have served. Ratings and reviews must be honest and based on a real experience.
  • You must not offer or accept anything of value for a review, submit reviews for your own business or a competitor, or pressure anyone to change or remove a review.
  • Reviews may be published on the Platform with your display name and may be used as described in section 13. Ratings inform search ranking, visibility, and the decisions described in section 9.
  • BG8 may moderate, edit for length, decline, or remove any rating or review, but is not obliged to, and does not verify reviews. Vendors may not retaliate against a Customer for a review.
  • Poor ratings have consequences. A Vendor whose ratings or complaint record falls below the standard BG8 expects may be delisted, suspended, or terminated under section 9, and a Customer with repeated low ratings from Vendors may be suspended or terminated under section 10.
  • Reviews are the opinions of the people who write them. BG8 does not endorse them and is not responsible for their content or for any decision you make in reliance on them.

13. Your content

  • You keep ownership of the Content you submit. You grant BG8 a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable licence to host, store, reproduce, adapt, display, distribute, and use your Content to operate, promote, develop, and improve the Platform and the products and services of VLS AI Corporation, including in marketing (section 17) and as described in section 21.
  • You confirm that you have every right needed to grant that licence, that your Content is accurate and lawful, and that it does not infringe anyone’s intellectual-property, privacy, or other rights.
  • Vendors are solely responsible for the images, descriptions, deals, blog posts, and agent knowledge they publish, including “before and after” photos and any claims about results.
  • BG8 does not pre-screen Content and may remove any Content at any time. To report Content that you believe is unlawful or infringes your rights, write to info@bg8.ai with the location of the Content and the basis of your complaint.

14. Community standards

BG8 works only when Customers and Vendors can trust each other. Everyone who uses the Platform, in any role, agrees to these standards. A breach is grounds for the actions described in sections 9 to 11.

  • Be honest. Describe yourself, your business, your needs, and your work truthfully. Do not misrepresent prices, qualifications, availability, or results, and do not make claims you cannot support.
  • Keep your commitments. Show up for confirmed Bookings, deliver what was agreed, pay what was agreed, and communicate promptly when something changes.
  • Treat people with respect. No harassment, threats, intimidation, abusive or obscene language, or sexual advances toward anyone you meet through the Platform, in person or in any conversation, including conversations with AI Agents.
  • Do not discriminate. Vendors may not refuse, price, or treat Customers differently, and Customers may not choose or treat Vendors differently, on the basis of race, colour, ancestry, place of origin, religion, marital or family status, physical or mental disability, sex, sexual orientation, gender identity or expression, age, or any other ground protected by the Human Rights Code (British Columbia) or other applicable law.
  • Stay safe and lawful. Do not request, offer, or perform work that is unsafe, unlicensed where a licence is required, or illegal. Report safety concerns to BG8 and, where appropriate, to the authorities.
  • Respect privacy. Use information you learn about another person only for the Booking. Do not record, photograph, or share other people or their property without permission.
  • Keep it on the Platform. Do not steer people off the Platform to avoid fees, protections, or records, and do not solicit users for unrelated purposes.
  • Use the assistants fairly. Do not try to trick, overload, or misuse AI Agents, and do not rely on them for anything a qualified professional should decide.

15. Prohibited conduct

You must not:

  • use the Platform for any unlawful purpose or to offer, request, or book an unlawful service;
  • misrepresent your identity, business, qualifications, prices, or services, or impersonate anyone;
  • post content that is false, defamatory, harassing, hateful, obscene, or that infringes anyone’s rights;
  • harvest contact details, send unsolicited messages, or use Customer or Vendor information for purposes other than the Booking;
  • scrape, crawl, copy, or access the Platform or its data by automated means, or reverse-engineer, decompile, or interfere with the Platform, its security, or its AI Agents;
  • circumvent the Platform or its fees, or create accounts to evade a suspension or termination;
  • upload malware or take any action that imposes an unreasonable load on our infrastructure; or
  • help anyone else do any of the above.

16. Communications and notifications

  • By creating an account you agree to receive transactional messages about your account and Bookings by email, push notification, in-app notification, and, where you provide a number, SMS. You may turn off non-essential notifications in your settings; essential Booking messages may still be sent.
  • Marketing messages are sent only with the consent required by Canada’s Anti-Spam Legislation, and every marketing email includes an unsubscribe link.
  • Notices from BG8 to you may be given by email to the address on your account, by in-app notice, or by posting on the Platform. Notices to BG8 must be sent to info@bg8.ai.

17. Promotions, credits and marketing use

Promotions and credits

  • BG8 may from time to time offer promotions, such as reduced or waived Platform Fees, fee credits, referral rewards, badges (for example a founding-vendor badge), featured placement, or free trials of paid features. Each promotion is subject to these Terms and to any additional terms we publish with it.
  • Promotions have no cash value, cannot be transferred, sold, or exchanged, and may be limited to one per person, business, or account. Credits apply only against Platform Fees and expire as stated in the offer or, if nothing is stated, 12 months after they are granted.
  • BG8 may change, suspend, or withdraw any promotion at any time, and may revoke a promotion, credit, or badge, and charge the fee that would otherwise have applied, where it reasonably believes the promotion was obtained or used through fraud, duplicate accounts, self-dealing, or a breach of these Terms.
  • Featured or promoted placement is at BG8’s discretion and does not guarantee any number of views, leads, or Bookings.

Marketing use of your name and content

  • Vendors agree that BG8 may identify them as a BG8 vendor and may use their business name, logo, listing, photos, deals, and public reviews to promote BG8 and the Platform, including in advertising, social media, app-store listings, investor and partner materials, and case studies. A Vendor may ask BG8 to stop using its name in new marketing materials by writing to info@bg8.ai.
  • Customer reviews and ratings may be quoted in BG8 marketing with the display name shown on the Platform. We will not use a Customer’s full name, photo, or other personal details in marketing without separate consent.
  • Vendors may describe themselves as available on BG8 and may use the badges and marketing assets BG8 provides for that purpose, in accordance with any brand guidelines we publish, but may not otherwise use BG8’s names, logos, or the BeeGee character (section 19).

18. Third-party services

  • The Platform relies on third-party services, including Stripe for payments, Google Firebase for sign-in (including Google and Apple sign-in), and AI providers for language, transcription, and speech. Your use of those services is subject to their terms.
  • Real estate listing data and market information are supplied by third parties and may be delayed, incomplete, or inaccurate. Check with a licensed professional before acting on it.
  • Vendors may sell their own subscriptions, memberships, group chats, or content, on or off the Platform. Those purchases are governed by the Vendor’s own terms, and BG8 is not responsible for them.
  • Links to third-party websites are provided for convenience; BG8 does not endorse and is not responsible for them.

19. Intellectual property and the BeeGee character

  • The Platform and everything BG8 creates for it are owned by VLS AI Corporation or its licensors: the software, design, user interface, text, databases, prompts, agent configurations, models, data compilations, and trade dress.
  • The names BG8, BG8.AI, and BeeGee, the BG8 logos, and the BeeGee character in every form are the property of VLS AI Corporation, whether or not registered as trademarks. The BeeGee character includes its appearance, artwork, animations, name, personality, manner of speaking, catchphrases, recorded and synthesized voice, and any derivative or stylized version.
  • You may not use, copy, imitate, adapt, or register any of those names, logos, characters, or voices, or anything confusingly similar, in your own branding, domain names, social-media handles, apps, agents, advertising, or products, without BG8’s prior written permission. Vendors’ permitted marketing use is limited to section 17.
  • Responses generated by the AI Agents are provided for your own use in connection with the Platform. You may keep and use the responses you receive for the purpose they were given, but you may not compile them into a dataset, product, or competing service, or present them as the statements of BG8.
  • We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose in accordance with these Terms. No other rights are granted, and all rights not expressly granted are reserved.
  • If you give us feedback or suggestions, we may use them without obligation to you.
  • To report a suspected infringement of your intellectual-property rights on the Platform, write to info@bg8.ai with the location of the material and the basis of your claim.

20. Privacy

Our Privacy Policyexplains what personal information we collect, how we use and share it, and your rights. It forms part of these Terms. BG8 is designed to share as little as possible: a Customer’s name and contact details reach a Vendor only when the Customer books that Vendor, never while they are searching or comparing. Vendors that receive Customer personal information through the Platform are independent organizations responsible for their own compliance with privacy law.

21. Use of data to improve our services

  • Every search, conversation, and booking helps BG8 understand what Vancouver needs and serve it better. By using the Platform you agree that BG8 and VLS AI Corporation may collect, store, analyze, and use your Content and information about how you use the Platform to operate, protect, research, develop, and improve the Platform and the products, services, and technologies of VLS AI Corporation, including the AI systems that power the Platform. We do this responsibly: personal information is handled as described in the Privacy Policy, we de-identify or aggregate data wherever practical, and we never publish your conversations.
  • Products, models, features, and improvements developed with that data belong to VLS AI Corporation. You have no right to them and no claim to any payment for their use.
  • Where we use third-party AI providers, we use their business services, which under their terms do not use your content to train their general models.

22. Disclaimers

To the fullest extent permitted by law, the Platform and everything on it are provided “as is” and “as available”, without warranties or conditions of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. BG8 does not warrant that the Platform will be uninterrupted, error-free, or secure, that AI output will be accurate, that any Vendor will be available, licensed, insured, or competent, or that any Booking will be performed or paid for.

In particular, BG8 is not responsible for, and does not endorse:

  • anything said, recommended, estimated, quoted, or promised by an AI Agent, including BeeGee, the search assistant, and the agents that act for Vendors, whether or not it appears to speak for BG8 or for a Vendor;
  • anything said, published, or promised by a Vendor, its staff, or its AI Agent, including listings, prices, deals, blog posts, quotes, and messages;
  • anything said or published by a Customer or any other user, including reviews, ratings, messages, and images; or
  • the accuracy of third-party data on the Platform, including real estate listings and market information.

You rely on any of the above at your own risk. Where you need advice you can rely on, obtain it from a qualified professional under a direct engagement with them.

23. Security, hacking and unauthorized access

  • BG8 takes reasonable steps to protect the Platform, but no online service is immune to attack. To the fullest extent permitted by law, BG8 is not liable for any loss or damage caused by hacking, unauthorized access, account takeover, data breach, malware, phishing, denial-of-service attacks, interception of communications, or any other security incident, whether affecting BG8, a Vendor, a Customer, or a third-party service the Platform relies on, except to the extent the incident results from BG8’s own failure to meet a duty that the law does not allow it to exclude.
  • You are responsible for the security of your own devices, network, email account, and login credentials, for choosing a strong password, for signing out on shared devices, and for telling us at once at info@bg8.ai if you suspect your account has been compromised. Activity under your account is treated as yours until you tell us otherwise.
  • BG8 is not responsible for outages, data loss, or delays caused by third-party providers, including hosting, sign-in, payment, email, and AI services, or by events beyond its reasonable control.
  • You must not probe, scan, or test the security of the Platform, attempt to bypass any access control or rate limit, access data or accounts that are not yours, or run any penetration test, load test, or vulnerability scan against the Platform without BG8’s prior written permission. If you discover a security issue, report it to info@bg8.ai and do not exploit, publish, or share it.
  • BG8 will notify affected users and authorities of a security breach where the law requires it, as described in the Privacy Policy.

24. Limitation of liability

To the fullest extent permitted by law:

  • BG8, VLS AI Corporation, and their directors, officers, employees, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, business, goodwill, data, or opportunity, however caused.
  • BG8 is not liable for the acts or omissions of any Customer or Vendor, for the quality, safety, legality, timing, or outcome of any service, for property damage or personal injury arising from a service, or for any dispute between a Customer and a Vendor.
  • BG8 is not liable for any statement, recommendation, estimate, or content produced by an AI Agent, a Vendor, a Customer, or a third-party data source, or for any security incident described in section 23, or for any decision to delist, suspend, or terminate an account or Content under sections 9 to 11.
  • BG8’s total liability for all claims arising out of or relating to the Platform or these Terms in any 12-month period will not exceed the greater of the Platform Fees you paid to BG8 in that period and CAD $100.

Some jurisdictions do not allow certain exclusions or limitations. Nothing in these Terms limits rights that consumer-protection law gives you and that cannot be waived, or liability that cannot be excluded by law.

25. Indemnity

You will defend, indemnify, and hold harmless BG8, VLS AI Corporation, and their directors, officers, employees, contractors, and affiliates from every claim, loss, liability, damage, cost, and expense (including reasonable legal fees) arising out of or relating to your Content, your use of the Platform, your services or Bookings, your breach of these Terms, or your violation of any law or of anyone’s rights. For Vendors this includes claims by Customers about services you provided or failed to provide.

26. Disputes between customers and vendors

  • Customers and Vendors should first try to resolve issues with each other in the Booking conversation.
  • A Customer may flag a completed Booking as “something’s wrong” on the Platform. BG8 may then hold any deposit, contact both parties, and adjust the Platform Fee, but BG8 is not obliged to investigate, mediate, or decide any dispute, and any decision BG8 makes about a fee, hold, rating, or account is at its discretion and final.
  • BG8 may share information about a Booking with both parties as needed to address a dispute, subject to the Privacy Policy.
  • Nothing BG8 does under this section makes it a party to the service contract or liable for its outcome.

27. Governing law and disputes with BG8

  • These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
  • Before starting any proceeding against BG8, you agree to write to info@bg8.ai describing the issue and to give us 30 days to try to resolve it.
  • Subject to the next point, the courts of British Columbia sitting in Vancouver have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and you submit to that jurisdiction.
  • If you use the Platform as a Vendor or otherwise for business purposes, any dispute that is not resolved informally will, at BG8’s election, be finally resolved by confidential arbitration in Vancouver under the Arbitration Act (British Columbia) before a single arbitrator, and you agree to bring claims only in your own capacity and not as a plaintiff or class member in any class or representative proceeding. This point does not apply to individuals using the Platform as consumers.
  • Any claim must be brought within one year after it arises, where the law allows that limit.

28. Changes to these Terms

We may change these Terms from time to time. The current version, with its effective date, is always posted on the Terms of Service pageof the Platform. For material changes we will give Vendors at least 14 days’ notice by email or in the vendor dashboard, and Customers reasonable notice on the Platform. Using the Platform after a change takes effect is acceptance of the changed Terms. If you do not agree, stop using the Platform and close your account.

29. General terms

  • These Terms, the Privacy Policy, and the Fee Schedule are the entire agreement between you and BG8 about the Platform and replace any earlier agreement.
  • If any part of these Terms is found unenforceable, the rest remains in effect and the unenforceable part is limited to the minimum extent necessary.
  • Our failure to enforce a provision is not a waiver of it.
  • You may not assign or transfer these Terms. BG8 may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets.
  • BG8 is not responsible for delay or failure caused by events beyond its reasonable control, including outages of third-party services.
  • Features marked beta, preview, early access, or similar are provided for evaluation, may be incomplete or withdrawn at any time, and are used entirely at your own risk.
  • BG8 may close an account that has not been used for 24 months, after notice to the email address on the account, and may then delete or de-identify its data as described in the Privacy Policy.
  • Sections on fees, content, disclaimers, limitation of liability, indemnity, governing law, and any other provision that by its nature should survive, survive termination.
  • You agree to receive these Terms, notices, and disclosures electronically, and that electronic acceptance has the same effect as a signature.
  • These Terms are written in English. Any translation is for convenience only.
